The following sweepstakes is intended for play in the Continental United States only and shall only be construed and evaluated according to the United States law. Do not enter this Sweepstakes if you are not located in the Continental United States at the time of entry.

The Iron Man© Sweepstakes ("Sweepstakes") is sponsored by Paramount Digital Entertainment® and Marvel Entertainment® ("Sponsors").

1. ELIGIBILITY: Open only to legal residents of the continental United States and the District of Columbia, 13 years of age or older, except employees, officers, directors, agents, and representatives of Sponsors, their parent companies, affiliates, subsidiaries, advertising, promotion agencies and promotion partners and the immediate family members (spouse, siblings, children, parents and their respective spouses) and those living in the same household as any such persons. This Sweepstakes is void in Hawaii, Alaska, Puerto Rico and where prohibited by law. Subject to applicable federal, state and local laws and regulations.

2. HOW TO ENTER: NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING. Sweepstakes begins at 12:00:01 a.m. PST December 23, 2008 and ends 5:00:01 p.m. PST February 28, 2009 ("Promotion Period"). During the Promotion Period, go to www.ironmaniwin.com, click on the Iron Man© Sweepstakes icon and completely fill out information requested on the Entry Form (“Entry Form”) and then transmit the Entry Form by clicking the “Submit” button. Entries must be received by 5:00:01 p.m. PST on February 28, 2009. Limit one entry per person/email address. Multiple entries per person, including multiple entries by the same entrant using different email addresses, will invalidate ALL entries submitted by that entrant. Sponsors are not responsible for lost, late (including delayed data transmissions), incomplete, misdirected, entries or entries otherwise not in compliance with these Official Rules will be disqualified. All entries become the property of Sponsors and will not be returned.

3. SELECTION OF WINNERS: Winners will be selected in a random drawing from all combined eligible entries on or about March 13, 2009 by Promotion Fulfillment Center, whose decisions are final in all matters relating to this sweepstakes. Odds of winning depend on the number of eligible entries received. Potential First Prize winners will be notified by e-mail or phone on or about March 20, 2009. If a potential winner cannot be reached after a reasonable effort has been exerted during 14 days from the time of notification, or if he/she is found to be ineligible, or if he/she cannot or does not comply with these Official Rules or if prize or prize notification is returned as undeliverable, or a winner's failure to return properly completed forms will result in disqualification and an alternate winner may be selected. Sponsors are not obligated to leave voicemail. Second and Third prizes will be shipping within 4-6 weeks of drawing date. Sponsors are not responsible for any change in e-mail, mailing address, and/or telephone number. Prizes will be delivered within 45 days of the end of the sweepstakes.

4. PRIZES: TEN (10) FIRST PRIZES: One (1) one year subscription to Marvel Digital Comics©, One (1) Iron Man© Blu Ray 2 disc set, One (1) Iron Man© Movie Poster and One (1) Iron Man© t-shirt. Approximate Retail Value (APR) ($122.00). TWENTY (20) SECOND PRIZES: One (1) Iron Man© Blu Ray 2 Disc Set and One (1) Iron Man© Movie Poster APR ($42.00). FIFTY (50) THIRD PRIZES: One (1) Iron Man© DVD and one Iron Man© Movie Poster APR ($22.00). Total Approximate Retail Value of all prizes: $3,160.00. Any difference between ARVs and stated values will not be awarded. No transfer of prize. No cash redemptions. No prize substitutions, except by Sponsors, in their sole discretion, for a prize of equal or greater value. Limit one prize per Household/Family/Person. All taxes on Prizes are sole responsibility of winner. Unclaimed prizes will not be awarded.

5. CONDITIONS: By entering, participants agree to be bound by these complete Official Rules. Paramount Digital Entertainment® and Marvel Entertainment®, and each of its officers, directors, employees, parent companies, affiliates, subsidiaries and advertising and promotion agencies (collectively, "Sweepstakes Entities") are not responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the sweepstakes or by any technical or human error which may occur in the processing of the entries in the sweepstakes. Sweepstakes Entities reserve the right, in their sole discretion to cancel, modify or suspend the online Sweepstakes, and randomly award the prizes from among all eligible entries received prior to action taken by Sweepstakes Entities, should fraud, virus, bugs or other causes beyond the control of Sponsors corrupt the administration, security or proper play of the game. Sweepstakes Entities are not responsible for computer system, phone line, hardware, software or program malfunctions, or other errors, failures or delays in computer transmissions or network connections that are human or technical in nature. Should multiple users of the same e-mail account enter the Sweepstakes and a dispute thereafter arise regarding the identity of the entrant, the authorized subscriber of said e-mail account at the time of entry will be considered the entrant. “Authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. Sweepstakes Entities reserve the right at their sole discretion, to disqualify any individual (and all of his or her Sweepstakes entries) who tampers with the entry process. Automated entries are prohibited, and any use of such automated devices will cause disqualification.

Entry and/or acceptance of prize(s) constitutes permission for the Sponsors, and their agencies to use the winner’s name, address (city and state) and/or likeness for advertising and trade purposes without further compensation or authorization, worldwide and in perpetuity, in any and all forms of media, now known and hereafter devised, including without limitation Internet, unless prohibited by law. First Prize winners will be required to complete, sign, notarize and return an Affidavit of Eligibility & Liability/Publicity Release ("Release") within 14 days of notification, before prize will be awarded. Failure to do so will result in disqualification of the winner, and an alternate winner may be selected. If prize is won by an eligible minor, prize will be awarded in the name of his/her parent or legal guardian who must sign and return all required documents.

As a condition of entering, entrants (or their parent or legal guardian if an eligible minor) agree (and agree to confirm in writing): (a) to release Sponsors and Sweepstakes Entities from any and all liability, loss or damage incurred with respect to the awarding, receipt, possession, and/or use or misuse of any prize, (b) under no circumstances will entrant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs.

Winner acknowledges that neither Sponsors nor their, employees, or agents, have made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Any and all warranties and/or guarantees on a prize (if any) are subject to the respective manufacturers’ terms therefor, and winners agree to look solely to such manufacturers for any such warranty and/or guarantee.

6. GOVERNING LAW: By entering, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of laws rules. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in Los Angeles County, California.

7. WINNERS LIST: For a copy of the official winners list, send a self-addressed, stamped envelope, for receipt by March 16, 2009, to: Iron Man© Sweepstakes, PO Box 5700-AW, Clinton, IA 52736-5700. VT residents need not include return postage.
